Terms of Service

The agreement between you and IONICWEB CREATOR when you use this site or engage us on a project. Clear terms make for a better partnership.

Acceptance

By using this website or engaging IONICWEB CREATOR ("we", "us") for services, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have the authority to bind it. If you do not agree, please do not use the site or our services.

A specific engagement may be governed by a separate written agreement (a proposal or contract). Where that agreement conflicts with these Terms, the signed agreement controls for that engagement.

Services

We provide product engineering, design, and consulting services — the scope, deliverables, timeline, and fees for any engagement are defined in a written proposal. This site and its content are provided for information only and do not by themselves create an engagement.

Client Responsibilities

Good work depends on good inputs. When you engage us, you agree to:

  • Provide accurate information and timely feedback, approvals, and access we reasonably need.
  • Hold the necessary rights to any content, credentials, or materials you give us.
  • Designate a decision-maker empowered to review and sign off on work.
  • Use the delivered work in a lawful manner.

Payments

Fees, milestones, and payment schedules are set out in the applicable proposal. Unless stated otherwise, invoices are due within the period noted on the invoice.

  • Deposits or milestone payments may be required before work begins or continues.
  • Late payments may pause active work until the account is brought current.
  • Fees are exclusive of taxes, which are your responsibility where applicable.

Intellectual Property

On full payment for an engagement, ownership of the custom deliverables we create for you transfers to you, except for the components below.

  • Pre-existing tools, libraries, and know-how we bring to the work remain ours; you receive a licence to use them as part of the deliverables.
  • Third-party and open-source components remain under their own licences.
  • We may reference the engagement and non-confidential outcomes in our portfolio unless we agree otherwise in writing.

Project Delivery

We deliver iteratively against the agreed scope. Timelines are estimates made in good faith and can be affected by the availability of your feedback, changes in scope, and third-party dependencies. Changes to scope are handled through a written change request that may adjust timeline and fees.

Maintenance

Ongoing maintenance, support, and iteration after launch are available under a separate maintenance agreement. Unless such an agreement is in place, an engagement concludes on final delivery and acceptance of the agreed scope.

Termination

Either party may terminate an engagement as set out in the applicable agreement, typically with written notice. On termination you agree to pay for work performed and costs committed up to the termination date. We will hand over completed, paid-for deliverables in a reasonable format.

Warranty Disclaimer

We take craft seriously and warrant that services will be performed with reasonable skill and care. Beyond that, the website and services are provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability arising from an engagement is limited to the fees you paid us for that engagement in the period specified in the applicable agreement.
